Our client is a UK-based manufacturing group operating within a technically demanding, highly regulated industrial environment. The organisation comprises multiple legal entities, including active trading and dormant companies and supports both domestic and international customers.

The business operates with a strong focus on engineering quality, operational reliability and long-term stakeholder value. Its governance and financial structures are designed to support complex group operations, regulatory compliance and sustainable growth, requiring close alignment between Board oversight, finance leadership and operational delivery.

This environment demands rigorous corporate governance, disciplined financial control and the ability to operate at pace while maintaining accuracy and statutory compliance.


The Role

We’re supporting our client with this hire of a Company Secretary to support the Board/ Management and ensure compliance with UK company law and corporate governance best practices. This is a key governance role working closely with senior leadership.


Key Responsibilities

  • Ensure compliance with the Companies Act 2006 and UK regulatory requirements

  • Advise the Board on corporate governance matters

  • Organise and support Board and committee meetings (agendas, minutes, resolutions)

  • Maintain statutory registers and manage filings with Companies House

  • Coordinate AGMs and shareholder communications

  • Liaise with external advisers, auditors, banks, insurers and regulators

  • Overall management of finance function

  • Production of monthly management reports and annual statutory accounts

  • Managing DB pension funds

  • Payroll Run

  • Cost accounting

  • Establishing a KPI driven controlling system and preparing financial analysis

  • Finance business partner for the operative business department and the board

  • Lead for the accounting team doing credit control, purchase ledger, fixed asset ledger, cash flow, VAT tax fulfilling’s


Key Requirements

Skills & Experience 

Required:

  • Qualified chartered secretary (ACG or FCG) or equivalent professional qualification in Law.

  • Demonstrable experience in a similar role or in an Assistant Company Secretary role, ideally within a banking or regulated financial services environment but other listed company experience will be considered.

  • Expert knowledge of share schemes, corporate governance, company law and financial services / banking regulations (e.g. UK Corporate Governance Code, SMCR and FCA / PRA requirements).

  • Working knowledge of equivalent overseas requirements would be an advantage.

  • Experience of senior level stakeholder engagement and management, specifically

  • Independent non-executive directors, ideally gained within a regulated firm.

  • Excellent communication, influencing and analytical skills.

  • Line management experience, including providing guidance and mentoring to wider team members.

  • Ability to operate at pace and adapt to a fast changing internal and external environment.

  • Experience of entity management software and electronic board portals.

  • You will have a high level of integrity, discretion and confidentiality, with the ability to handle sensitive information appropriately.

  • You will have the gravitas to liaise with directors and senior management and positively influence outcomes.

  • Exceptional attention to detail and organisational skills, with the ability to manage multiple priorities effectively.

  • You will have a proactive, solution-orientated approach, with the ability to work quickly and accurately under pressure with minimum supervision. You will be a self-motivated and collaborative team player.

Desirable Extra:

  • Experience leading IT departments and IT projects in terms of ERP improvements and updates
